本規約は、重松テック（以下「当社」）が提供するAI配車管理システム「DispatchOS」（以下「本サービス」）の利用に関して、利用者（以下「お客様」）と当社との間の契約条件を定めるものです。
本サービスは、日本の運送・物流事業者向けのSaaSプラットフォームであり、AI自動配車、ドライバー管理、伝票管理、GPSフリートマップ、インシデント管理機能を提供します。
These Terms govern your use of DispatchOS, an AI-powered dispatch management system ("Service") provided by Shigematsu Tech ("we," "us," or "our"), a sole proprietorship registered in Tosu, Saga Prefecture, Japan.
The Service is a SaaS platform for Japanese logistics and trucking companies providing AI dispatch, driver management, denpyo (job sheet) management, GPS fleet tracking, and incident management.
本サービスを利用するには、有効なメールアドレスとパスワードでアカウントを作成する必要があります。お客様は以下に同意するものとします：
- 正確かつ最新の情報を提供すること
- アカウント情報（パスワードを含む）の機密性を維持すること
- アカウント上で発生するすべての活動について責任を負うこと
- 不正アクセスに気づいた場合は直ちに当社に通知すること
- 1社につき1アカウントのみ登録できます
To use the Service you must create an account with a valid email and password. You agree to: provide accurate and current information; maintain the confidentiality of your credentials; take responsibility for all activity on your account; notify us immediately of any unauthorized access. One account per company.
ドライバーは、会社コードと4桁PINを使用してFirebase認証なしでログインします。このドライバーアクセス方式はお客様の管理下にあり、PINの管理はお客様の責任となります。
Drivers access the Service via company code and 4-digit PIN without Firebase Authentication. This driver access method is under your control; PIN security is your responsibility.
14日間無料トライアル： 新規登録から14日間は無料でご利用いただけます。クレジットカードの登録は不要です。トライアル期間終了後に継続してご利用になる場合は、有料プランへのご登録が必要です。
14-Day Free Trial: New accounts receive 14 days of free access. No credit card required. Continued use after the trial period requires a paid subscription.
創業メンバー価格： 最初の5社限定で、¥12,400/月（税別）の永久割引価格が適用されます。この価格は将来の値上げの影響を受けません。
Founding Member Rate: The first 5 companies receive a permanent rate of ¥12,400/month (tax exclusive). This rate is immune to future price increases.
支払い： 料金は月次で請求されます。支払いが遅延した場合、当社はサービスへのアクセスを停止する権利を有します。
解約： いつでも解約可能です。解約後も当月末まではサービスをご利用いただけます。返金は原則として行いません。
Payment: Fees are billed monthly. We reserve the right to suspend access for late payment.
Cancellation: You may cancel at any time. Access continues through the end of the current billing period. Refunds are not provided except as required by applicable law.
DispatchOSのソフトウェア、デザイン、アルゴリズム、ロゴ、商標、およびすべての関連コンテンツは、重松テックが所有または使用許諾を受けており、著作権法その他の知的財産法によって保護されています。
本サービスの利用許諾はサブスクリプション期間中のみ有効な限定的・非排他的・譲渡不可のライセンスです。お客様はソフトウェアを所有するものではありません。
All software, design, algorithms, logos, trademarks, and content comprising DispatchOS are owned by or licensed to Shigematsu Tech and protected by copyright law and other intellectual property laws of Japan and applicable international treaties.
Your subscription grants a limited, non-exclusive, non-transferable license to use the Service during the subscription period only. You do not acquire ownership of any software.
Reverse engineering, decompiling, extracting source code, or attempting to replicate or imitate the Service is strictly prohibited.
お客様のデータ： お客様が本サービスに入力したデータ（伝票情報、ドライバー情報等）はお客様に帰属します。当社はこれらのデータを第三者に販売しません。
Your Data: Data you input into the Service (denpyo records, driver information, etc.) belongs to you. We do not sell your data to third parties.
お客様は以下の行為を行ってはなりません：
- 本サービスを違法な目的に使用すること
- 第三者のアカウントに不正アクセスすること
- 本サービスのシステムやネットワークに過度の負荷をかけること
- 本サービスの一部または全部を再販・サブライセンスすること
- ソースコードの抽出、リバースエンジニアリング、または競合製品の開発に本サービスを利用すること
- 虚偽の情報でアカウントを作成すること
- 自動化ツールを使用してサービスを過剰にスクレイピングすること
You may not: use the Service for unlawful purposes; access other accounts without authorization; place excessive load on our systems; resell or sublicense the Service; extract source code, reverse engineer, or use the Service to develop competing products; create accounts with false information; or excessively scrape the Service with automated tools.
当社のプライバシーポリシーは本規約に組み込まれ、その一部を構成します。本サービスのデータ処理方法については、プライバシーポリシーをご参照ください。
本サービスはGoogle Firebase（Google LLC、米国）をデータ保管に使用しています。お客様のデータは日本国外のサーバーに保管される場合があります。
Our Privacy Policy is incorporated into these Terms. See our Privacy Policy for details on how we process data. The Service uses Google Firebase (Google LLC, USA) for data storage. Your data may be stored on servers outside Japan.
GPS・速度データ： ドライバーがGPS機能を有効にした場合、位置情報および速度データが収集されます。このデータは安全管理・業務効率化の目的のみに使用されます。
GPS & Speed Data: When drivers enable GPS, location and speed data is collected. This data is used solely for fleet management and safety purposes.
当社は合理的な努力をもって本サービスの継続的な提供に努めますが、以下の場合を含む一時的な中断・停止について保証するものではありません：
- 定期メンテナンスまたは緊急メンテナンス
- 第三者サービス（Google Firebase、Vercel、Anthropic API等）の障害
- 天災、停電、その他の不可抗力
We make reasonable efforts to provide continuous access but do not guarantee uninterrupted service. Planned and emergency maintenance, third-party service failures (Firebase, Vercel, Anthropic API), and force majeure events may cause interruptions.
本サービスは「現状有姿」で提供されます。当社は以下について保証しません：
- AI配車結果の完全性・正確性（AIの判断は参考情報であり、最終的な配車決定はお客様が行ってください）
- AI伝票スキャンの読取精度
- GPS位置情報の精度
- 特定目的への適合性
The Service is provided "as is." We do not warrant: the completeness or accuracy of AI dispatch results (AI suggestions are advisory — final dispatch decisions remain yours); AI denpyo scan accuracy; GPS precision; or fitness for a particular purpose.
AI features are assistive tools only. All decisions involving hazardous materials or regulatory compliance must be verified by a qualified human.
法令上許容される最大限の範囲で、当社の損害賠償責任は、お客様が直近3ヶ月間に当社へ実際に支払った料金の総額を上限とします。
当社は、逸失利益、機会損失、間接損害、特別損害、派生的損害について、その可能性を事前に通知されていた場合においても、一切責任を負いません。
To the maximum extent permitted by law, our total liability to you for any claim arising from the Service is limited to the amount you actually paid us in the 3 months preceding the claim.
We are not liable for lost profits, lost opportunities, indirect, special, incidental, or consequential damages, even if advised of the possibility.
お客様による解約： いつでも解約できます。解約後も当月末まではアクセスを維持します。
当社による解約： 本規約の重大な違反、支払い遅延（14日以上）、または不正利用が判明した場合、当社は通知なしにアカウントを停止・削除する権利を有します。
データの取り扱い： 解約後30日間はデータのエクスポートをリクエストできます。30日経過後、データは削除されます。
By You: Cancel anytime; access continues through the end of the billing period.
By Us: We may suspend or terminate your account without notice for material breach of these Terms, payment default exceeding 14 days, or fraudulent use.
Your Data: You may request a data export within 30 days of termination. Data will be deleted thereafter.
本規約は日本国法に準拠し、日本国法に従って解釈されます。本サービスに関連して生じた紛争については、佐賀地方裁判所を第一審の専属的合意管轄裁判所とします。
These Terms are governed by and construed in accordance with the laws of Japan. Any dispute arising from the Service shall be subject to the exclusive jurisdiction of the Saga District Court as the court of first instance.
当社は本規約を変更することがあります。重要な変更については、登録メールアドレスへの通知または本サービス内での告知により、変更の30日前にお知らせします。変更後も本サービスを継続してご利用の場合は、変更後の規約に同意したものとみなされます。
We may modify these Terms. For material changes we will provide 30 days' notice via your registered email or in-app notification. Continued use after the effective date constitutes acceptance of the revised Terms.
